1. Scope

1.1 This End-User License Agreement (hereinafter “EULA”) governs the use of the software “prepare” including its updates, plugins (e.g. the grandMA3 plugin) and documentation (hereinafter “Software”). The Software is licensed by prefocus GmbH, Pücklerstr. 23, 10997 Berlin, Germany (hereinafter “licensor”) to the user (hereinafter “licensee”).

1.2 The Software is sold via our online reseller Lemon Squeezy. The purchase, payment and billing are governed by our Terms and Conditions and the terms of Lemon Squeezy. This EULA governs the right to use the Software.

1.3 By activating or using the Software, the licensee accepts this EULA.

2. Subject of the License

2.1 The Software is protected by copyright. All rights to the Software remain with the licensor, unless expressly granted to the licensee in this EULA.

2.2 The licensor grants the licensee a simple (non-exclusive), non-transferable and non-sublicensable right to use the Software for the term of the license in accordance with this EULA.

2.3 The licensee may use the Software for their own professional or private purposes, including the creation of show files for third parties. The show files, data and items created with the Software belong to the licensee.

3. License Variants

3.1 Trial: The trial license is free of charge and intended for evaluating the Software. It is limited to 16 fixtures per import, and only the tool “Create Clipboard Macros” is available in the Tools tab.

3.2 Standard: The standard license is a subscription. It includes all functions of the Software without these limits, as well as all updates released during the term of the subscription.

3.3 The scope of each variant is described on the pricing page at the time of purchase.

4. Activation and License Check

4.1 The Software must be activated with the license key sent to the licensee. The license may be activated on one computer at a time.

4.2 The licensee may move the license to another computer by deactivating it in the Software (Settings → Deactivate License) and activating it on the new computer.

4.3 The Software checks the validity of the license online. It can be used offline for up to 30 days; after that, it needs an internet connection to confirm the license again.

5. Term and Termination

5.1 The right to use the Software exists as long as the subscription is active. It ends automatically when the subscription ends. The Software can then no longer be used.

5.2 The right to terminate for good cause remains unaffected. Good cause for the licensor exists in particular if the licensee seriously violates this EULA, e.g. by passing on the license key.

5.3 Show files, data and project files (e.g. .ppcad files) created during the term remain with the licensee and may continue to be used after the end of the license.

6. Restrictions

Unless permitted by mandatory law, the licensee may not:

  1. copy the Software, except for installation and a backup copy;
  2. pass on, rent out, lend or sell the Software or the license key to third parties, or make it available to them;
  3. decompile, disassemble or otherwise reverse engineer the Software, except within the limits of § 69e of the German Copyright Act (UrhG);
  4. circumvent, disable or manipulate the license check or the activation;
  5. remove or change copyright notices, trademarks or other notices of rights.

7. Third-Party Components

The Software contains open source components of third parties. These components are subject to their own licenses, which take precedence over this EULA for the respective component. A list of these components and their licenses is available in the documentation. This EULA does not restrict any rights the licensee has under these licenses.

8. Data Transmitted by the Software

The Software transmits data to the licensor or its service providers only to the following extent:

  1. License check: the license key and the name of the installation are transmitted to Lemon Squeezy for activation and validation.
  2. Version check: at start, the Software asks the server of the licensor whether an update is available.
  3. Log file: only if the licensee chooses “Send Logfile”, the log file of the Software is transmitted together with the email address, license key, version and operating system, so that the licensor can analyse errors.

The communication with lighting consoles (FTP, SFTP, Telnet, OSC) takes place only within the licensee’s network. Further information is available in our Privacy Policy.

9. Use with Lighting Consoles

9.1 The Software creates and changes data in show files of lighting consoles (e.g. patch, groups, layouts, presets and effects), directly over the network or as files for import.

9.2 The licensee is responsible for saving a backup of the show file before importing data, and for checking the created data before using it in a show.

9.3 The Software is not intended for safety-critical control tasks.

10. Updates

10.1 During the term of the subscription, the licensee may install all updates released by the licensor. Updates are subject to this EULA.

10.2 The licensor may develop the Software further and change functions, as long as the essential functions remain available and the change is reasonable for the licensee.

11. Warranty and Liability

11.1 The statutory warranty rights apply. The licensor is aware that software cannot be completely error-free according to the state of the art.

11.2 The liability of the licensor is governed by section “Liability” of our Terms and Conditions. The trial license is provided free of charge; for it, the licensor is only liable for wilful intent, gross negligence and fraudulently concealed defects, as well as for damage to life, limb or health.

12. Closing Remarks

12.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law only applies insofar as it does not deprive them of the protection of mandatory provisions of the law of the country in which they have their habitual residence.

12.2 If the licensee is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Berlin.

12.3 Should individual provisions of this EULA be or become invalid, the validity of the remaining provisions remains unaffected.
